Article 1. Definitions 

In these general conditions shall apply: 
'User' means the user of the general conditions, in this case Cistelcom BV 
'consumer': a party that is both a natural or legal person can be the enduser or a reseller. 

Article 2. Applicability of these conditions 

1. These conditions apply to every offer and every agreement between user and a consumer on which users stated that these conditions will apply, except when both parties agree on other conditions. 
2. These conditions also apply to agreements which involve third parties. 

Article 3. Quotations / offers / list and description of products 

1. User is not bound to special offers or pricing, these will only  be an invitation for placing an order, unless explicitly stated otherwise. 
2. When user cannot meet its tender / quotation it will be not held responsible, the consumer ought to understand that the offer / tender, or part of a manifest contain error or typos. 
3. A contract is only concluded when a user is agreed with all the terms for the order. 
4. All statements made by user such as numbers, specifications, and / or other indications of the products are made with the greatest accuracy, however users cannot guarantee that their will  be no a defects . 
5. User reserves the right without giving any reason, to refuse any order or to accept only on condition that the order by consumers is confirmed by a registered letter and / or the transfer or shipment is done after payment. 

Article 4. Delivery 

1. Unless otherwise agreed, delivery from store / warehouse of user at the headquarters in Pijnacker and users provides the means of transportation. 
2. The consumer is obliged to accept the items that are purchased, at the time that it is to be delivered. 
3. If the consumer refuses or fails to provide information or instructions necessary for the delivery, the order will be cancelled without any notice and the items will be stored on the expense and risk of the consumers or sold to a third party . 
4. User has at all times the right to make partial deliveries. 
5. The user-specified delivery times are approximate and although not mandatory but will also be the final delivery date, except  when it isn’t in our hand it will never be more than one week delayed. 
6. When exceeding the delivery deadline, the consumer is not entitled to any compensation in respect. 

Article 5. Technical requirements etc. 

If the goods deliverd in the Netherlands are being used abroad. Consumer is responsible for the technical requirements that have to be met according to local law. 


Article. 6a Guarantee 

1. User guarantees that its goods sold, are free of material, design and workmanship flaws for a period of at least 3 months after delivery and during a maximum period provided by the manufacturer of that particular article. 
2. If the guarantee mentioned in paragraph 1 applies and the goods delivered are defect, the user will be required to repair the goods within 30 days after the consumer has notified him in writing. 
3. The user will choose between replacement, repair or refund. 
4. Consumers has only the right of refund or contract cancellation when: 
- User made two unsuccessful attempt  to repair the same defect and this defect is serious enough to warrant replacement or dissolution; 
- If the goods have so many defects and the consumers has shown that it is  not conform to the agreement and that therefore these defects justify replacement or dissolution; 
5. The warranty expires if the consumer defect is caused by improper handling of a guaranteed product. 
6. The consumer must prove that the goods are within the warranty period . The warranty expires if the type or serial number of a case is removed or changed. 

Article 6b Return Guarantee 

1. The consumer has the right to return delivered products without giving any reason within 7 days after delivery to user. User will refund the consumer minus the sum of cost made for transport and value of products maintaining in possession of consumer, 
the following conditions are applied: 
- Software of which the seal of the container is broken, cannot be returned. 
- The state of the product must be the same as when it was delivered, it must include all documents and items belonging to the product and shipment. This includes purchase documents and transport documents
- All returns must be in the possession of user  before the  18th day after consumer received the goods supplied by user.
- All transport costs are for consumer. 

Article 7. Retention 

1. User maintains full ownership of the goods sold, until the purchase price is completely paid. 
2. By attachment, (provisional) suspension of payments or bankruptcy, the consumer immediately informs the liquidator of the (property) rights of users. Consumer guarantees that a seizure of the product is immediately removed. 

Article 8. Defects; complaint periods 

1. Consumers should  check the purchased  item as soon as possible after it delivery. This to ensure that all products are as is agreed on in the contract.
2. Be a visible lack or weakness detected, the consumer should inform the user within 3 days after delivery .
3. A defect is not visible to consumers within 3 days after discovery and within 12 months after delivery in writing to user. 
When a not visible defect is found the consumer should inform the user in writing, within 3 days ,with a maximum date of 12 months .

Article 9. Prices 

1. Unless otherwise stated, all prices listed in messages, such as catalogs, price lists and / or offers of user, expressed in EUR and excluding VAT. Unless expressly 
2. Prices are based on the time and conclusion of the contract conditions applied to the users, these may including exchange rates, freight rates, import prices. The user has the right to pass on costs to the customer. 
3. Discounts are given once. Previously granted discounts do not bind user in any way for a later agreements. 

Article 10. Payment 

1. Unless otherwise agreed, cash payments are done including taxes. Either by bank transfer in advance, either by credit card or a single payment authorization. 
2. If payment is not in cash, it must be done within the payment period on the invoice. 
3. All amounts charged to consumers without discount or deduction must be met. Consumers are not authorized to settle, consumers have no right to suspend any further payment obligations. 
4. When the consumer hasn’t payed within 10 days after the payment period has expired, the amount of the invoice will rise with 2% each month.(this is unless the legal percentage is higher, than the legal amount will be charged) 
5. In the event of bankruptcy or suspension of payment , User has the right to claim immediately claim the goods.

Article 11. Collection costs 

1. Is the consumer in default or fails to fulfill any of its obligations, all reasonable costs incurred in obtaining the goods or their value will be on behalf of consumers. In any case the consumers is obligated to accept a claim according to following: 
- The first Eur 3000, - 15% 
- On the excess of Eur. 6500, - 10% 
- On the excess of Eur. 15,000 - 8% 
- On the excess of Eur. 65,000 - 5% 
- For the additional 3% 
2. If user demonstrates that higher costs have been made, consumers is obligated to accept these costs as well.


Article 12. Liability and Indemnification. 

1. The user's liability is limited to the replacement of goods or a refund of the purchase price. 
2. User has no liability, either under the law, nor a contract, for consequential damages to customer or third party when using the product. This includes lost profits, company losses or loss of data and immaterial damages. 
3. For defects in goods delivered see Article 6a of these conditions. 
4. The above restrictions do not apply if the damage is due to intentional and / or gross negligence and / or imputable actions of users or her subordinates. 

Article 13. Force majeure 

1. Force majeure is applied to law an jurisdiction when force from outside the company are influencing of the order.
2. User also has the right to invoke force majeure if the circumstance rendering (further) fulfilment occurs after the user should have fulfilled its obligation. 
3. During force majeure the delivery and other obligations of user are suspended. If the period within which force majeure the obligations lasts longer than 2 weeks, both parties are entitled to terminate the agreement without that in this case an obligation to pay compensation. 

Article 14. Dispute 

The judge in the domicile of the user shall have exclusive jurisdiction to hear disputes, unless the district court jurisdiction. Nevertheless, the authorized user for consumers to sue under the law or treaty jurisdiction. 

Article 15. Applicable law 

All agreements between the user and Dutch law applies. The Vienna Sales Convention is expressly excluded. 

Article 16. Amendment and the terms of reference 

These conditions are filed at the office of the Chamber of Commerce of The Hague 

Always applies the last registered version or the version valid at the time of the conclusion of the transaction.
