These Conditions of Sale apply to all orders that you place with us, whether the order is placed on the telephone, in writing, by fax or email or on our website. Please make sure that you read these conditions carefully as they set out all the terms in relation to us supplying you goods. We have tried to write them in plain English so that we both know where we stand.

1. Definitions and Interpretation
1.1 In these Conditions the following terms have the following meanings:
"Conditions" 
the terms and conditions of sale set out in this document; 
“Contract” 
means any contract between you and us for the sale and purchase of Goods or Services, incorporating these Terms
“Cookies”
Cookies enable us to keep track of your current shopping session in order to make the experience personal to yourself and cookies allow you to return to your basket at a later date. If you choose not use cookies please do not use this site.
"Delivery Address" 
the address for delivery of the Goods which shall be Your principal place of business unless You tell Us otherwise and We confirm this on the Order Acknowledgement; 
"Delivery Date" 
the date on which We estimate that the Goods will be delivered to the Delivery Address which will be set out on the Order Acknowledgement and where this is not a specified date, but a time period, the time period shall run from the date of the Order Acknowledgement; 
"End User" 
the end user of the Goods; 
"Force Majeure Event" 
an event which is beyond Our reasonable control and which may include but shall not be limited to: (1) acts of terrorism, insurrection, riots, civil unrest and military action; (2) the exercise of emergency powers by any local, regional or national governmental authority; (3) fire, flood, earthquake, storm and other natural disasters; (4) industrial action, strikes and lock-outs; (5) blockage or embargo; and (6) the failure or delay of supplies of power, fuel, transport, equipment, telecommunications systems, Internet or other goods and/or services (including any third party materials); 
"Goods" 
an individual product or goods including Software as described in our literature or website which we agree to supply to You in the Contract; 
"Manufacturer" 
the manufacturer of the Goods; 

"Minimum Spend" 
a minimum spend level per Order as set out on the Website from time to time; 
"Order" 
any agreement between Us and You for the sale and purchase of Goods accordance with these Terms; 
"Order Acknowledgement" 
a document sent by Us to You once We have received Your Order, which confirms the Order; 
"Our"/"Us"/"We" /”Supplier”/”the Company
DGM Distribution Limited, a company registered in England and Wales with company number 5749775 whose registered office is at Unit 1, Chancerygate Business Centre, Stonefield Way, Ruislip, London, HA4 0JA; 
"Price" 
the price set out on the Order Acknowledgement or, if no price is set out on the Order Acknowledgement, the price of the Goods shall be calculated in accordance with Our price list which is in force on the date that We accept the Order; 
"Product Data" 
data in relation to Our products that we transmit; 
"Quote" 
an estimate of the cost of supply of the Goods given by Us; 
"Website" 
Our website at the domain url:dgmeshop.com, digimate.com and any other sub-domains of the website and any other websites operated by Us; 
"Working Days" 
all days other than Saturdays, Sundays and English public holidays; 
“Normal Working Hours”
means 9am to 5pm on a Working Day
"You"/"Your" 
the customer who agrees to purchase the Goods from Us on these Conditions whose details are set out on the Key Terms Sheet.

2. Basis of Sale & Order
•	2.1 These Conditions apply to all Orders for the sale of Goods entered into by Us. 
•	2.2 When You place an Order with Us, You agree to deal with Us on these Conditions, unless we specifically agree any other terms between us which are confirmed in writing by Us. No other terms, conditions, warranties or representations will apply (whether they are found in any purchase order, confirmation of order, or any other document). 
•	2.3 We may amend these Conditions at any time, for any reason, but if We do then We will inform You of the change and the new conditions will only apply to Orders made after that date. 
•	2.4 You must not rely on any representations that are made to You by any of Our employees or agents unless We confirm them in writing. Under no circumstances will You be able to claim damages for or cancel or terminate the Order as a result of anything communicated to You in this way unless it was made fraudulently. 
•	2.5 We will use Our reasonable efforts not to, but if we make any typographical, clerical or other error or omission in any sales literature, Quote, price list, Offer Acknowledgement, invoice or other document or information issued by Us, We will be entitled to correct the mistake without any liability on Our part.

3. Acceptance of Orders
•	3.1 You agree to purchase the Goods from Us and We agree to sell the Goods to You on the terms contained in these Conditions. 
•	3.2 When You order Goods from Us this will be considered to be an offer by You to buy the Goods subject to these Conditions. These Conditions will then be binding on You, but they will not bind Us until We have sent You an Order Acknowledgement. 
•	3.3 When we provide You with a Quote, this is not an offer. We may withdraw or amend any Quote at any time before accepting the Order. 
•	3.4 The appearance of Goods on the Website is an invitation to You to make an offer to purchase them by placing on Order with Us. We have the right to refuse any Order and it will not bind Us until We send You an Order Acknowledgement. 
•	3.5 It is Your responsibility to make sure that the terms of Your Order are complete and accurate. 
•	3.6 The supply of Goods is subject to availability. If We do not supply the Goods to You for any reason, We will not charge You for those Goods and We will refund any money already paid for them. However, We will not be responsible for compensating You for any other losses which You may suffer if We do not supply the Goods. 
•	3.7 You shall not be entitled to cancel the whole of or any part of any Order which We have accepted, unless We agree to it. Any cancellation that We do accept will be subject to an administration fee which will be charged at the current rate in force and set out on the Website from time to time


4. Delivery and Risk
•	4.1 Unless we agree otherwise with you, then we will normally ensure that Goods are delivered to you no later than 30 days from the day after you submitted your Order to us. If we cannot deliver Goods to you within 30 days, then we will give you prior notification and arrange an alternative date. If you do not agree to the alternative date, then you are entitled to cancel the Order and receive a full refund. 
•	4.2 We shall use reasonable endeavours to despatch Goods to you by the estimated delivery date, but we shall not accept liability for failure to deliver within the stated time or on a stated day, where this is caused by circumstances beyond our reasonable control, such as delays caused by delivery companies or manufacturer lead times. You will not be entitled to damages or compensation if delivery of Goods does not occur on the estimated delivery date. 
•	4.3 If a delay is likely, we shall contact you to advise of the delay. You are entitled to cancel an Order when advised of a delay if the revised delivery date is not acceptable to you. 
•	4.4 Delivery is deemed to take place when the Goods are delivered to your nominated address, whereupon the risks of loss, breakage and all damage and all other risks shall pass to you. 
•	4.5 If you cannot accept delivery, we may at our option re-arrange delivery provided that we may charge you for the additional delivery costs incurred. 
•	4.6 Upon delivery of the Goods, you will be asked to sign a Proof of Delivery to acknowledge safe receipt. It is your responsibility to ensure that the number of packages delivered corresponds with the number stated on the delivery note. If you are unable to check the contents of the package at that moment in time please sign for the parcel as "UNCHECKED". Failure to do so may affect any warranty claims that you make thereafter. Where a discrepancy occurs or where there is evident damage to the packaging, you should either note this on the Proof of Delivery or refuse to accept delivery of the Order. 
•	4.7 We shall not be liable for discrepancies or damage evident on delivery where you accept delivery and sign the Proof of Delivery without amendment. 
•	4.8 You may request a copy of the Proof of Delivery, provided that this request is made within 7 days of the date of delivery and we shall use reasonable endeavours to provide such proof. If you do not make such a request, or notify us in accordance with clause 4.9 then we shall be entitled to assume that all the Goods in your Order have been delivered successfully. 
•	4.9 You should notify us as soon as possible and in any event no later than 48 hours after delivery in the event that Goods are found to be damaged on delivery, items are missing, the Goods are not as specified in the Order Confirmation or delivery does not take place on the estimated delivery date. If you need to return any Goods, then please see our Returns policy below. 

•	4.10 Delivery charges are calculated by weight and number of packages being sent. There will also be additional delivery charges for offshore destinations such as Ireland. 

•	4.11 Any refused deliveries will be returned to the supplier. Upon receipt of the goods with the supplier a refund will be issued minus 15% of the value of the order to cover administration costs.

•	4.12 If, by mistake, We deliver more Goods than You ordered then We will be entitled to come and collect those Goods or request that You deliver them back to Us at Our expense

•	4.13 If the Goods have not been delivered, but You receive an invoice from Us relating to them, then You must notify Us no later than 48 hours after receiving the invoice otherwise You shall not be entitled to make a claim against Us in respect of non-delivery of those Goods.


5. Return of Defective Goods
•	5.1 If you need to return Goods to us, then a Goods Returns Material Authorisation Number (RMA) must be obtained from us for each and every return so that we are able to administratively process your return, otherwise we have no means of identifying the Goods being returned. This may result in difficulties in returning monies. You will be sent a RMA Number acknowledgement by email which will also include a downloadable returns label that should be printed off and secured onto the exterior of the package. The RMA Number must be clearly shown on each parcel returned, and must be in the original manufacturer's packaging (which shall not be defaced) complete with accessories, manuals and documentation. Software packages must be returned unopened with the Software seals intact. Except in the case of faulty Goods, returned items not complying with these requirements will be rejected. The goods cannot be returned unless an RMA number has been requested and obtained from the Company and the package clearly marked on the outside with this identification. The cost of returning and appropriately insuring the goods until satisfactory receipt at the company will be borne by the customer (unless otherwise stated).
•	5.2 It is the customer's responsibility to take reasonable care of the goods whilst in their possession. Whilst in possession of the Goods you are under a statutory duty to take reasonable care of them. We reserve the right to claim against you for Goods returned which have been made unfit for resale or damaged whilst in your possession. If this condition is not met, the Company reserves the right to make a reasonable charge for restocking and resale at a price that is less than that charged for the goods if sold as new. This charge will vary according to the condition of the returned goods. This provision is designed to ensure that returned goods can be sold again as new. 
•	5.3 In the event that any Goods Delivered to you do not correspond with the Goods in the Order Confirmation, or have been Delivered to you by mistake, then you will be under a duty to take reasonable care of such Goods and to contact our Customer Services team immediately no later than 14 days. We will then arrange for a courier to collect the Goods and replacements to be supplied on a credit, refund and/or recharge basis.
•	5.4 If the buyer properly rejects any of the goods in accordance with the Distance Selling Regulations within 7 working days in writing, the buyer shall nonetheless be responsible for the return cost of the goods. 
•	5.5 Non-faulty items returned to our premises complete in the original packaging together with manuals and software disks within 7 working days of purchase may obtain a credit note. Goods must be sellable as new in order to qualify for a credit note. All software must be unused and sealed within the original packaging. Outside of 7 working days, non faulty items will not be exchanged or a credit note offered under any circumstances. Full refunds will not be considered if the goods are damaged in any way and seals broken invalidating any warranty. 
•	5.6 DGM eSHOP gives no assurance as to the mutual compatibility of components sold on any single invoice. It is the responsibility of the buyer to ensure that the goods purchased are suitable for the purpose intended. Advice sought by the customer from Us in this respect may be given but cannot be relied upon by the customer or guaranteed by Us unless we have access to the working system and the ability to carry out a full inspection of any software or operating system. 
•	5.7 Credit notes must be used within six months of the date they are issued. Any credit notes over six months old are invalid.
6. Price and Payment
•	6.1 You shall pay Us the Price for the Goods. 
•	6.2 We reserve the right, by giving notice to You at any time before the Goods are delivered, to increase the Price to take account of any increase in the cost to Us of supplying You the Goods which is due to:
•	6.3 Whilst We try to ensure that prices set out on Our Website are accurate, mistakes may sometimes occur. If We discover a mistake in the price of the Goods, We will contact You as soon as possible and give You the option to either re-order the Goods at the correct price or cancel Your Order. If We cannot contact You, We will treat the Order as having been cancelled. If the Order is cancelled We will not charge You for those Goods and will refund any money already paid for them. 
•	6.4 Unless otherwise stated on the Order Acknowledgement, the Price is exclusive of charges for transport, packaging and insurance together with any additional expenses paid or incurred by Us regardless of whether the Delivery Address is in UK or not. Transport and packaging will be charged at the current rate in force and set out on the Website from time to time. 
•	6.5 The Price is exclusive of any applicable value added tax, which You must pay Us in addition to the Price. 
•	6.6 If, in any one Order, You fail to order Goods to the value of less than the Minimum Spend then We shall charge You an administration fee which will be charged at the current rate in force and set out on the Website from time to time. 
•	6.7 We shall be entitled to invoice You for all amounts due under the Order on or at any time after We deliver the Goods. If the Goods are to be collected by You or if You wrongly fail to take delivery of them, We shall be entitled to invoice You at any time after We have notified You that the Goods are ready for collection or (as the case may be) the date that You failed to take delivery of the Goods. 
•	6.8 Your payment shall only be considered to have been received by Us once We have received cleared funds. 
•	6.9 You must make all payments due under the Order in full without any deduction (whether by way of set-off, counterclaim, discount, abatement or otherwise) unless You have a valid court order which requires Us to pay an amount equal to such deduction to You, or unless We have otherwise agreed to it in advance in writing. We do not accept debit notes. 
•	6.10 If We do not receive full payment of the invoice by the due date then (in addition to any other rights that We may have) We shall be entitled:
•	6.11 For the avoidance of doubt, We offer no discounts or incentives to Our customers, including but not limited to, sale or return options, stock rotation, price protection or rebates.

7. Limitation of Liability
•	7.1 All warranties, conditions and other terms implied by law (except those that relate to Us having the right and title to sell You the Goods) are, to the fullest extent permitted by law, excluded from the Order. 
•	7.2 Our total liability under each Order is limited to that which We claim from Our supplier. 
•	7.3 We will not be liable for: 
•	7.4 Nothing in this clause 7 shall have the effect of limiting or excluding Our liability for fraudulent misrepresentation or for death or personal injury resulting from Our negligence or that of Our employees, or for anything else which it would be illegal for Us to exclude or try to limit or exclude Our liability.
•	If you are a business customer the Supplier shall not be liable to you for any indirect or consequential loss or damage (whether for loss of profit, loss of business, depletion of goodwill or otherwise), costs, expenses or other claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with this agreement.


8. Risk and Title
•	8.1 The Goods are at Your risk as soon as they are delivered and unloaded at the Delivery Address, except when You agree to collect the Goods, in which case they are at Your risk as soon as You collect them from Us. 
•	8.2 Ownership of the Goods shall not pass to You until We have received in full (in cash or cleared funds) the Price of the Goods and all other sums which are or which become due to Us from You on any account. We shall be entitled to recover payment for the Goods even if ownership of the Goods (or any part of them) has not passed from Us. 
•	8.3 Until ownership of the Goods has passed to You, You agree:
8.3.1 to hold the Goods on Our behalf; 
8.3.2 to keep the Goods separately identifiable from all Your other goods or those of any third party so that they can be easily identified as Our property; 
8.3.3 to allow Us (or any of Our agents or employees) to enter any premises where the Goods are being held or may be stored in order to inspect them, at any time or, where Your right to possession has terminated, to recover them; 
8.3.4 not to destroy, deface or obscure any identifying mark, barcode or packaging on or relating to the Goods; and 
8.3.5 to keep the Goods in a satisfactory condition and keep them properly insured on Our behalf for their full price against all risks, and if We ask You, You must show Us the policy of insurance.
•	8.4 You may only resell the Goods before ownership has passed to You if the sale happens in the ordinary course of Your business at full market value. 
•	8.5 Your right to possession of the Goods shall terminate immediately if:
8.5.1 We are entitled to terminate the Order under clause 10 below; or 
8.5.2 You put any kind of financial or legal burden on the Goods or put a charge over them in any way.
•	8.6 We shall be entitled to re-sell or otherwise dispose of recovered Goods in any way that We, in Our absolute discretion, think fit. You hereby grant to Us a non-exclusive, world-wide, royalty free, perpetual, irrevocable licence (with a right to sub-license) to use, for the purposes of such re-sale or other disposal, any and all trade marks which You may have applied to the Goods or by any third party at Your request or with Your consent. 
•	8.7 Regardless of how the Order is terminated, when it does terminate Our (but not Your) rights contained in this clause 8 shall remain in full force and effect


9. Website use
•	9.1 From time to time, We may restrict access to some parts of the Website, or the entire Website and We will not be liable if the Website is unavailable at any time or for any period, for any reason. 
•	9.2 You are responsible for ensuring that all persons who access the Website through Your Internet connection are aware of these Conditions and that they comply with them. 
•	9.3 You may use the Website only for lawful purposes. You may not use the Website in any way that breaches any applicable local, national or international law or regulation, or in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect. 
•	9.4 All parts of the Website, including screen shots and system applications belong to Us and You agree not to reproduce, duplicate, copy or re-sell any part of the Website in contravention of the provisions of these Terms. 
•	9.5 You agree not to access without authority, interfere with, damage or disrupt:
•	9.6 We are the owner or the licensee of all intellectual property rights subsisting in the Website. This includes trade marks, design rights, copyright, look and feel and all similar rights (whether or not registered or capable of registration and whether subsisting in the United Kingdom or any other part of the world) together with the right to apply for registration of and/or register such rights any and all goodwill relating or attached thereto and all extensions and renewals thereof. 
•	9.7 No part of the Website may be reproduced, transmitted to, or stored on any other website or in any other form of electronic medium without Our express written consent. 
•	9.8 We assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alterations of user communications. We are not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, computer or mobile phone equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet in relation to the Product Data or on the Website or combination thereof. 
•	9.9 The material on the Website is provided without any guarantees, conditions or warranties as to its accuracy, completeness, timeliness or usefulness.

10. Termination
•	10.1 We shall be entitled to terminate the Order immediately by notice in writing or email to You if:
10.1.1 You commit an irreparable breach of the Order or persistently repeat a reparable breach or commit any reparable breach and You fail to remedy it within 30 (thirty) days of receipt of a notice from Us informing You of the breach and asking You to put it right; or 
10.1.2 You make an arrangement with or enter into a compromise with Your creditors, You become the subject of a voluntary arrangement, receivership, administration, liquidation or winding up, You are unable to pay Your debts or You otherwise become insolvent or suffer or is the subject of any distraint, execution, event of insolvency or event of bankruptcy or any other similar process or event, whether in the United Kingdom or elsewhere; or 
10.1.3 You cease or threaten to cease to carry on business; or 
10.1.4 there is at any time a material change in Your management, ownership or control; or 
10.1.5 if We reasonably think that any of the events specified in clauses 10.1.2 to 10.1.4 is about to occur and We notify You accordingly.
•	10.2 If We terminate the Order in line with clause 10.1 above then, We shall be entitled to cancel the Order or suspend any further deliveries to You under the Order and, if the Goods have already been delivered but not paid for, You must immediately pay Us the Price regardless of any previous agreement or arrangement to the contrary and We shall be entitled to charge statutory interest as provided for in the Late Payment of Commercial Debts (Interest) Act 1998 from the time of such cancellation or suspension until We receive payment. This clause 10.2 shall not prevent Us from making any other claims against You.

11. Confidentiality
•	11.1 You must keep confidential any of Our information which is marked as confidential or which by its nature is confidential that You obtain under or in connection with the Order and You must not divulge that information to any other person. Yourself for any other purpose without Our prior written consent. 
•	11.2 However, the obligations of this clause 11 shall not apply to any information that You can show:
11.2.1 is in the public domain other than as a result of a breach of the Order or any other obligations of confidentiality; 
11.2.2 is or was lawfully received from someone else who is or was not under an obligation of confidentiality with respect to that information; 
•	11.3 You shall be entitled to divulge Our confidential information to Your employees, directors, officers, consultants who have a need to know that information 
•	11.4 The provisions of this clause 11 shall continue in force despite the termination or expiration of the Order.

12. Force majeure
•	12.1 We have the right to defer the date of delivery or to cancel the Order or reduce the volume of the Goods ordered by You (without liability to You) if We are prevented from or delayed in the carrying on of Our business due to a Force Majeure Event, provided that, if the event in question continues for a continuous period in excess of 60 (sixty) days, You shall be entitled to give notice in writing to Us to terminate the Order.

13. Applicable Law
•	13.1 These terms of sale and the supply of the goods will be subject to English law and the English courts will have jurisdiction in respect of any dispute arising from the contract.
14. Images
•	14.1 Product images are for illustrative purposes only and may differ from the actual product.
15. Data Protection 
•	15.1 The Supplier will take all reasonable precautions to keep the details of your order and payment secure but unless the Supplier is negligent, the Supplier will not be liable for unauthorized access to information supplied by you.
16. Promotions
•	16.1 Promotional items not claimed within 3 months of ordering may be lost, no alternative will be offered in such circumstances.
17. Warranty

•	17.1 All goods supplied by the Supplier are warranted free from defects for 12 months from the date of supply (unless otherwise stated). This warranty does not affect your statutory rights as a consumer. 

•	17.2 This warranty does not apply to any defect in the goods arising from fair wear and tear, wilful damage, accident, negligence by you or any third party, use otherwise than as recommended by the Supplier, failure to follow the instructions, or any alteration or repair carried out without the Supplier's approval.
