1.Warranty - All products supplied are warranted free from manufacturing defect. Any parts
claimed as defective must be returned carriage prepaid for inspection with a written explanation
certifying how installed and subsequently operated. Liability is limited to the replacement of parts
only.
2.Liability - in any event and in no circumstances shall Sussex Auto Parts Ltd be liable in contract
tort including negligence or breach of statutory duty or otherwise for loss whether direct or
indirect of profits business anticipated savings or for any direct or indirected consequential loss
or damage whatever beyond that of a duty to exercise reasonable skill and care.
3.Returns - all returns must have Sussex Auto Parts Ltd prior approval and authorization.
4.Fitness for Purpose - no fitness for purpose, warranty or any other guarantee either written
or implied is given save that contained in the Sussex Auto Parts Ltd official written Terms and
Conditions of Sale.
5.Payment - payment shall be made by the purchaser to the vendor in strict accord with the
terms and conditions set out in the vendor's invoice.
6.Title to goods - full title to goods shall pass to purchaser only upon full and final payment to
the vendor by the purchaser of all sums as invoiced.
7.Delivery - every effort will be made to meet delivery as form part of the official contract
of sale however failure to deliver by stated dates shall not render the vendor liable for damage
or consequential loss. Time shall not be the essence of the contract.
8. Any notice, consent or other communication required by either party to the other shall be made
in writing and shall be deemed to have been received within 7 days from the time of writing or
transmitting.
9. Sussex Auto Parts Ltd. Terms and Conditions of Sale constitute the entire agreement between the
vendor and the purchaser with regard to all goods services and no representation, statement,
warranty or condition not expressly contained in this contract or incorporated herein by written
accepted reference by the vendor shall be binding upon the vendor as a warranty or otherise.
10. The contract shall be governed and construed in accordance with English law and the English
courts shall have exclusive jurisdiction to determine any dispute arising hereunder.
