A. General Terms and Conditions and Client Information

1) Scope of Application
1.1 These Terms and Conditions (hereinafter to as "GTC" of the company Vladon Möbel GmbH (hereinafter referred to as "Seller”) shall apply to all contracts concluded between a Consumer or a Trader (hereinafter referred to as "Client”) and the Seller related to all goods and/or services presented by the Seller on the eBay trading platform. The inclusion of the Client`s own conditions is herewith objected to, unless other terms have been stipulated.
1.2 A consumer pursuant to these GTC is any individual acting for purposes which are wholly or mainly outside that individual’s trade, business, craft or profession. A trader pursuant to these Terms and Conditions is any person acting for purposes relating to that person’s trade, business, craft or profession, whether acting personally or through another person acting in the trader’s name or on the trader’s behalf.
2) Conclusion of the Contract
2.1 The product descriptions presented by the Seller on the eBay trading platform do not constitute binding offers on the part of the Seller, but merely serve the purpose of submitting a binding offer by the Client.
2.2 The Client can place an order via the eBay trading platform. By completing his personal data and clicking the "submit order" in the final stage of the ordering procedure the Client's order is deemed to be a legally binding offer to buy the chosen amount of goods related to the goods displayed in the online shopping basket.
2.3 The Seller can acknowledge receipt of the Client’s order by sending him an automatically generated e-mail acknowledging his order. Such an acknowledgement of receipt is no acceptance of the Client’s order. The Seller can accept the Client’s offer by sending him a letter or a separate e-mail or a fax accepting the order or by delivering the goods within five days. With this separate confirmation the contract will be concluded. The Seller has no obligation to accept the Client’s offer.
2.4 The contract’s content will be stored by the Seller and will be sent to the Client in writing including these GTC and Client Information (for example via e-mail, fax or letter) after the Client has submitted his order. In addition, the contract’s content will be stored by Ebay and can be found free of charge by the Client indicating the respective item number under www.ebay.uk, within 90 days after conclusion of the contract. If the client wants to find the product description site, he has to enter the respective item number in the search box of the eBay home page and has to click on the button "find”.
2.5 The Client can correct all the data entered via the usual keyboard and mouse function prior to submitting his binding order. In addition, prior to submitting the order, all data entered will be displayed in a confirmation window and can be corrected here as well, via the usual keyboard and mouse function.
2.6 The English and German languages are available for the conclusion of the contract.
3) Right to Cancel
Consumers are entitled to the right of cancellation. Detailed information about the right of cancellation is provided in the Seller’s instructions on cancellation.
4) Price and Delivery Costs
4.1 Prices indicated are end prices and include the statutory value-added tax. Any possible additional delivery and dispatch costs are specified separately in the respective product description.
4.2 Payment can be made using one of the methods mentioned by the Seller on the eBay trading platform. If payment in advance has been agreed upon, payment shall be due immediately upon conclusion of the contract.
5) Shipment and Delivery Conditions
5.1 Goods are generally delivered on dispatch route and to the delivery address indicated by the Client, unless agreed otherwise. During the processing of the transaction, the delivery address indicated in the Seller’s order processing is decisive. However, in case the Client selects the payment method PayPal, the delivery address deposited with PayPal at the date of payment shall be decisive.
5.2 If goods are delivered by freight carrier, the goods shall be delivered free curb that is to say to the public curb stones which are closest to the delivery address, unless otherwise stipulated in the shipping information displayed in the Seller’s online shop or unless otherwise agreed.
5.3 Personal collection is not possible for logistical reasons.
5.4 Should the assigned transport company return the goods to the Seller because delivery to the Client was not possible, the Client bears the costs for the unsuccessful dispatch. This shall not apply, if the Client hereby exercises his right of cancellation, or if he has been temporarily prevented from receiving the offered service, unless the Seller has provided the Client with reasonable advance notice about the service.
6) Liability for Defects
6.1 The statutory consumer rights will apply.
6.2 If the Client is a consumer and he uses his short-term right to reject the product, he has to return the product at his cost.
7) Special Conditions for the Processing of Goods According to Client's Specification
7.1 The Client shall indemnify the Seller from claims of third parties asserted against the Seller in connection with a violation of their rights by the Seller’s contractual use of the Client’s content. The Client shall also bear the reasonable costs required for the necessary legal defense, including all court and lawyer's fees according to the statutory rate. This shall not apply if the Client is not responsible for the infringement. In the event of claims by third parties, the Client shall be obliged to provide the Seller promptly, truthfully, and completely with all information that is necessary for the verification of the claims asserted for a corresponding defense.
7.2 The Seller reserves the right to refuse processing orders, if the content provided by the Client for this purpose violates legal or official prohibitions or morality. This shall apply in particular to the provision of content that is anti-constitutional, racist, xenophobic, discriminatory, offensive, or youth-endangering, and/or if it glorifies violence.
8) Law and Jurisdiction
8.1 If a Client acts as a consumer pursuant to Section 1.2, any contractual relationships between the parties are governed by the law of the country where the Client has his habitual residence. The UN-Convention on Contract for the International Sale of Courts is excluded. Moreover, the courts of the State where the Client is domiciled will have exclusive jurisdiction over any dispute relating to these relationships.
8.2 If a Client acts as a trader pursuant to Section 1.2, any contractual relationships between the parties is governed by the law of the country where the Seller has his place of business. The UN-Convention on Contract for the International Sale of Goods is excluded. Moreover, the courts of the State where the Seller has his place of business will have exclusive jurisdiction over any dispute relating to these relationships.
9) Alternative dispute resolution
The Seller is neither obliged nor prepared to attend a dispute settlement procedure before an alternative dispute resolution entity.

1) Domaine d’application
1.1 Les présentes Conditions Générales de Vente (CGV) s’appliquent à tous les contrats conclus entre un consommateur ou un professionnel et Vladon Möbel GmbH (ci-après dénommé le « vendeur ») par l’intermédiaire du site internet www.ebay.fr et ayant pour objet les produits et/ou les prestations présentés par le vendeur. Les présentes CGV annulent toutes conditions imposées par le client, sauf s’il en a été convenu autrement.
1.2 Au sens des présentes CGV est considéré comme consommateur toute personne physique qui agit à des fins qui n’entrent pas dans le cadre de son activité commerciale, industrielle, artisanale ou libérale. Le terme « professionnel » utilisé dans les présentes CGV désigne une personne physique ou morale qu’elle soit publique ou privée, qui agit, y compris par l’intermédiaire d’une autre personne agissant en son nom ou pour son compte, à des fins qui entrent dans le cadre de son activité commerciale, industrielle, artisanale ou libérale.
Dans les présentes CGV, le terme « client » désigne aussi bien un consommateur qu’un professionnel.
2) Conclusion du contrat
2.1 Les descriptions de produits faites par le vendeur et publiées sur la plateforme commerciale eBay correspondent à des offres fermes de la part du vendeur. Celles-ci peuvent être acceptées par le client conformément au proecessus dédrit ci-après.
2.2 Immédiatement après validation de sa commande, le client reçoit un e-mail de confirmation de sa commande de la part d'eBay.
2.3 Le contrat est archivé par le vendeur et un exemplaire est transmis au client conjointement aux présentes CGV et aux informations adressées à la clientèle sous forme de texte (courriel, fax ou lettre).
2.4 Le client a la possibilité de corriger les informations saisies avec les fonctions habituelles du clavier, avant de passer la commande ferme et définitive. De plus, l’ensemble des informations communiquées est de nouveau affiché dans une fenêtre de confirmation juste avant la validation définitive de la commande et peut y être corrigé de la même façon.
2.5 Seule la langue française fait foi pour la conclusion du contrat.
3) Droit de rétractation
Les clients consommateurs ont un droit de rétractation. Plus de détails portant sur le droit de rétractation figurent dans les informations du vendeur concernant l’exercice du droit de rétractation.
4) Prix et modalités de paiement
4.1 Dans la mesure où rien d’autre n’est spécifié dans les descriptions de produit publiées par le vendeur, les prix indiqués par le vendeur sont des prix définitifs en euros, toutes taxes comprises. Ils incluent donc la taxe sur la valeur ajoutée (TVA). Les frais de livraison et d'expédition supplémentaires pourraient cependant s'appliquer. Ils seront, le cas échéant, expressément affichés sur le site du vendeur.
4.2 Le client peut choisir entre les différents moyens de paiement qui sont affichés sur le site du vendeur sur eBay.
4.3 Si un paiement anticipé est convenu, celui-ci devra être effectué immédiatement après la conclusion du contrat.
5) Conditions de livraison
5.1 La livraison des marchandises s'effectue régulièrement par correspondance à l'adresse de livraison indiquée par le client, sauf s’il en a été convenu autrement. L’adresse de livraison renseignée par le client auprès d’eBay fait référence lors de l’exécution de la transaction.
5.2 Si la société de transport retourne la marchandise au vendeur en raison de l'impossibilité de la remettre au client, les frais engendrés par l’échec de l'expédition seront imputables au client. Cependant, ceci ne s’appliquera pas si le client a effectivement exercé son droit de rétractation, si le client n'est pas responsable des circonstances ayant conduit à l'impossibilité de la remise de la marchandise, ou encore, s'il a été provisoirement empêché de réceptionner la livraison, à moins que le vendeur lui ait annoncé par avance un délai de livraison raisonnable.
5.3 Pour des raisons de logistiques, un enlèvement par les soins du client n’est pas possible
6) Conformité et Garanties Légales
6.1 Le vendeur est tenu des défauts de conformité du bien au contrat dans les conditions de l’article L.217-4 et suivants du code de la consommation et des défauts cachés de la chose vendue dans les conditions prévues aux articles 1641 et suivants du code civil.
6.2 Le consommateur bénéficie d'un délai de deux ans à compter de la délivrance du bien pour agir. Il peut choisir entre la réparation ou le remplacement du bien, sous réserve des conditions de coût prévues par l’article L.217-9 du code de la consommation. Il est dispensé de rapporter la preuve de l'existence du défaut de conformité du bien durant les vingt-quatre mois suivant la délivrance du bien. Ce délai est fixé à six mois pour les biens d'occasion.
6.3 La garantie légale de conformité s'applique indépendamment de la garantie commerciale éventuellement consentie.
6.4 Le consommateur peut décider de mettre en œuvre la garantie contre les défauts cachés de la chose vendue au sens de l’article 1641 du code civil. Dans cette hypothèse, il a le choix entre la résolution de la vente ou la réduction du prix de vente conformément à l’article 1644 du code civil.

7) Loi applicable et juridiction compétente
7.1 Si le client est un consommateur au sens de l’article 1.2, toute relation juridique entre les parties contractantes est régie par la loi du pays où le client a sa résidence habituelle, à l’exclusion du droit commercial international des Nations Unies. La juridiction compétente pour tout litige en relation avec le présent contrat est exclusivement celle de la résidence habituelle du client.
7.2 Si le client est un professionnel au sens de l’article 1.2, toute relation juridique entre les parties contractantes est régie par la loi du pays où le vendeur a son siège social, à l’exclusion du droit commercial international des Nations Unies. La juridiction compétente pour tout litige en relation avec le présent contrat est exclusivement celle du siège social du vendeur.
8) Règlement extrajudiciaire des litiges

En vue d’un règlement de litiges avec un vendeur, les consommateurs disposent de la faculté de recourir à une médiation par le biais de cette plateforme européenne.
8.2 Conformément aux dispositions du Code de la consommation un règlement amiable s’applique aussi pour des litiges de consommation transfrontaliers. Si le client veut recourir au service d’une telle médiation, il peut consulter le site internet de la commission d’évaluation et de contrôle de la médiation de la consommation (http://www.economie.gouv.fr/mediation-conso/commission).
Ce site internet fournit notamment les coordonnées du Centre européen des consommateurs France et des indications relatives aux modalités de l’assistance dont le consommateur peut bénéficier en vue du règlement extrajudiciaire de tels litiges transfrontaliers.
Si le client veut recourir au service de médiation lors d’un litige avec le vendeur, il doit s’adresser préalablement par écrit au vendeur. Le service du médiateur ne peut être saisi que lorsqu’un accord avec le vendeur n’a pas abouti.
